Governance

TACT Fostering & Adoption’s governing body - the board of trustees - recognises the value of high standards of corporate Governance.

The board's skills set

The board possesses a diversity of skills - from law and finance to social work and education. The composition of the board is regularly reviewed to ensure that it remains relevant to the successful governance of the organisation. TACT’s board subscribes to the NCVO code of conduct.

Role of the board of trustees

The board of trustees recognises its central role is to provide leadership and to develop and review a clear long term strategy for the organisation. In addition, they oversee the systems of financial control, promote high ethical standards and monitor regulatory compliance. The board delegates the principal day-to-day decisions to the Chief Executive and the Executive Directors. The trustees are also the members of the charity and one-third of their number are re-elected annually.

Board meetings

Board meetings are held six times a year and, at each meeting, the trustees concentrate on a special theme for in depth discussion and scrutiny - covering financial, operational, human resource management, performance, quality assurance, risk management and social work best practice issues. An annual workshop event happens to enable trustees and the Executive Directors to deliberate on strategy, future direction and governance.

Sub-committees

To support decision-making, the trustees have convened three separate sub-committees – The ‘Social Work Committee’ , The ‘Business & Remuneration Committee’ and the ‘Policy Committee’, each with clear terms of reference approved by the board. The sub-committees consider issues within their remit in some detail and make recommendations to the board for their subsequent ratification.

Recruitment of trustees

New trustees are generally recruited through specific press advertisements or through personal recommendation. However, to ensure transparency an ad-hoc Nominations Committee will meet to organise and conduct the selection process, based on a range of criteria including skills, experience and commitment to the sector.
